Master Subscription Agreement / Terms And Conditions

Accepting of Terms:

Effective Date: 21.9.2025

This Master Subscription Agreement (this “Agreement”) contains terms and conditions that govern your purchase of subscriptions to, and use of, the Services (as defined in Section 2 below), and is a contract between Jugaad (“JugaadX“) and you or the entity or organization that you represent.

JugaadX (hereinafter referred to as the “Platform,” “Mobile Application,” or “JugaadX”) is a website and mobile-based client communication integration platform owned and operated by JugaadX (hereinafter referred to as “JugaadX,” “we,” “us,” or “our”).

This document is a legally binding agreement between the registered or unregistered user of the Platform (hereinafter referred to as “You,” “Your,” or “User”) and JugaadX, governing the use of the Platform and setting forth the terms and conditions by which you may access and use the Platform and our related websites, services, applications, products, and content (collectively, the “Services”).

By using the Services, you acknowledge and agree to the following:

If you are an individual using the Services for your own purposes:
1. All references to “Customer/Clients/you/your/user” refer to you.
2. You represent and warrant that you are at least 18 years of age or have otherwise reached the age of majority where you reside and have the legal right and authority to enter into this Agreement.
If you are using the Services on behalf of an entity or organization:
1. All references to “Customer/Clients/you/your/user” refer to that entity or organization.
2. You represent and warrant that you have the authority to enter into this Agreement on behalf of that entity or organization.

If you sign up for the Services:

You will be deemed to represent your employer or that entity.
Your acceptance binds your employer or that entity to this Agreement.
The word “Customer/Clients/you/your/user” will refer to your employer or that entity.

This Agreement becomes binding and effective upon the earliest of:

When you access or use the Services.
When you click an “I Accept”, “Sign Up,” or similar button or check box referencing this Agreement

Data Usage:

We use your data to provide and improve the Service. By using the Service, you agree to the collection and use of information in accordance with this policy. Unless otherwise defined in this Privacy Policy, the terms used here have the same meanings as in our Terms and Conditions.

By providing JugaadX with your information or by using the Platform, you consent to the collection, storage, processing, and transfer of any personal or non-personal information as specified in this document. You further agree that such collection and processing shall not cause any loss or wrongful gain to you or any other person.

Your access to the Platform and use of our Services is also subject to our Privacy Policy, which can be found at https://jugaadx.ai/privacy-policy.

JugaadX Services

The JugaadX Platform facilitates access to a secure, cloud-hosted virtual software solution that enables Users to integrate all client communications within a unified platform, leveraging the functionalities provided by the WhatsApp Business API.

By accepting these terms, you acknowledge the Platform’s dependency on WhatsApp Business API services. Any changes or updates made by WhatsApp may impact our ability to provide Services, potentially causing disruptions or limitations. JugaadX has no control over these third-party services.

Broadcast and Bulk WhatsApp Messaging
Unified WhatsApp Channel for Your Team
24×7 Automated Chat Assistance (ChatBot)
Detailed Productivity Reports

Conversation Charges

Conversation charges are determined by Meta Platforms, Inc. (formerly Facebook, Inc.).
If Meta updates its pricing, conversation charges will be adjusted accordingly.
JugaadX has no control over Meta’s pricing decisions.
No refunds or liability for subscription fees will be provided due to changes in Meta’s pricing.

Note: Please review conversation costs carefully on our website before subscribing.

Subscription of Plan

To access JugaadX services, users must sign up and select a subscription plan.
Subscription fees are billed monthly, quarterly, half-yearly, or annually and must be paid within seven (7) days of the invoice date.
Subscriptions renew automatically unless canceled in writing.
Payments are non-cancelable and non-refundable except in cases expressly mentioned herein.

Taxes:

Subscription fees exclude all taxes, levies, or duties.
Users are responsible for paying all applicable taxes, which will be itemized on invoices when legally required.

Upgrades:

Users may upgrade to higher plans at any time.
Charges for upgrades will be pro-rated for the current month.

Subsequent billing cycles will reflect the new subscription fee.

WhatsApp Business API Terms

The Platform is integrated with the WhatsApp API and requires compliance with WhatsApp’s terms. Users must agree to the following WhatsApp policies:

Violations of these terms may result in suspension or termination of your WhatsApp account by WhatsApp. JugaadX is not responsible for such actions or related damages.

Cancellation & Refund Policy

All subscriptions renew automatically unless canceled in writing by emailing support@jugaadx.ai.
No refunds or credits are provided for partial months or years of service.
For first-time users, accounts may be canceled if payment is overdue by 15 days from activation.
For auto-renewals, accounts may be canceled if payment remains overdue by 1 day after renewal.

Intellectual Property Rights

All content and software on the Platform, including text, graphics, logos, audio, video, and technology, are the intellectual property of JugaadX, its affiliates, or licensors.
Users are granted a limited, non-exclusive, revocable, non-transferable license to use the Platform for personal business purposes.
Redistribution, resale, reverse engineering, or unauthorized commercial use is prohibited without prior written consent.

Representations and Warranties

By using the Platform, you represent and warrant that:

You are legally competent to enter into this Agreement.
You will not misuse the Platform or exceed its intended functionality.
You will not attempt unauthorized access to our systems or services.
You will comply with all laws, including data protection and anti-spam regulations.
You will promptly notify JugaadX if your contact number is listed under the TRAI Do Not Disturb/National Consumer Preference Register List.

Limitation of Liability

JugaadX, its affiliates, licensors, and representatives shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from your use or inability to use the Platform.
Maximum liability is limited to the subscription fees paid in the preceding 12 months.
JugaadX is not responsible for:
- WhatsApp account suspensions or restrictions.
- Changes made by WhatsApp or Meta.
- Third-party services, advertisements, or user actions.

Force Majeure

JugaadX shall not be liable for delays or failures caused by events beyond our control, including but not limited to:

Natural disasters
Pandemics
Internet outages
Government restrictions
Strikes or labor disputes
Third-party non-performance

Governing Law and Jurisdiction

These Terms shall be governed by and interpreted under Indian laws. Any disputes will be resolved through binding arbitration in Chennai, Tamil Nadu, India. If arbitration is not possible, courts in Chennai will have exclusive jurisdiction
